OBJECTIVES

Energy law is a global area of practice— Energy Lawyers deal with Clients with Assets all over the world, so those who work in this area must have a strong awareness of international affairs. Energy policies differ from government to government and depend on geographical variables, and many countries rely on imported Energy then if a Lawyers is in Energy practice or is considering this area, there is a responsibility to be aware of international developments, industry practitioners encounter a lot of contracts, as an Energy Lawyer, Clients are often looking to buy or sell assets within the sector. its is important that one builds the competency and capabilities to handle such transactions.

Course Modules

  1. REGULATORY FRAMEWORK

The introduction to the transactional management training provides a high-level overview of the Energy industry value chain and business, covering technical, commercial and management aspects of the natural gas industry, rapidly advancing technology, increasing complexity, and competitive pressures demand a better understanding of the Energy market. This training course brings together various concepts that affect the Energy industry, it will discuss commercial structures, non-technical risks, and other topics to examine the growth overtime and investment opportunity. In addition, it will discuss the formation, the different types of products, production, and processing.

Participants will gain extensive knowledge of the fundamental principles of the regulation of the power and gas sector through theory and practice, learning from industry leader, former regulators, leading academics, industry specialists and practitioners. It will dive into regulatory issues, such as compliance risk management, corporate governance, implementing effective compliance procedures, legal framework and legal cases and environmental regulations. These knowledge are critical to staying competitive and optimizing their company’s resources for maximizing value.

2. NEGOTIATION

In this training we will examine negotiating skills, projects from first principles to real-world examples, learning from the success and failure of projects around the world, we will introduce, demonstrate and test best practices recommendations for project evaluation, contractual drafting, procurement and contract management.

This Energy training would focus on discussion of some common myths and misconceptions concerning projects, and address crucial practical issues such as community and stakeholder engagement, incentivizing or compelling contractual performance and dealing with requests for variation or renegotiation of contract terms. This training will also discuss how people can mobilize private sector investment and expertise to provide much-needed infrastructure and public services, how it can transform government departments and contracting authorities from being owners and operators of assets into knowledgeable purchasers of services from the private sector.

3. CONTRACTS

Energy needs must be met in a world that cannot survive without it, how effectively we meet this need will determine the development of the modern world, particularly following covid-19, many challenges are facing us in the field of Energy which includes issues such as high and volatile energy prices, growing global Energy demand, security risks affecting producing and transit countries, the growing threats of environmental changes, slow progress in Energy efficiency, challenges posed by the increasing share of renewables.

Energy contracts need to be strategic and looked at through the lens of your company’s current risk profile, companies need to formulate a targeted approach. Energy contract management should provide customize solutions and also determine the best pricing strategy to meet your efficiency goals, parties to the contracts want to mitigate dramatic price increases and the contracts need to address this and provide workable solutions. There is a need for customized contracts to avoid undue penalties which can cripple the commercial viability of a project. Energy contracts must allow for flexibility and the contracts must reflect this and have a robust basis for meeting stakeholders’ requirements.

This training course will provide participants with a comprehensive understanding of Energy contracts essential to manage the volatile Energy market, participants will receive a thorough in-depth exposition of the several Energy contracts and understand the rationale behind them and acquire essential skills to negotiate sound and well thought out Energy contracts.

4. AGREEMENT DRAFTING

Agreement drafting is a complex component of an Energy project and can be used as a firm basis for any type of Energy project in both renewable and non-renewable, negotiating a remunerative agreement is essential if a project is to take off.An agreement must take into account present regulatory environment must also include provisions that will lock in price and quantity and manage risk factors as the agreement is normally mostly periodic, participant in this course will be given a road map of how to navigate through an Energy agreement and have an in-depth knowledge of the essentialclauses.

This agreement drafting will draw on a wide range of agreements and case studies to elaborate on contractual, commercial and risk management issues that will invariably need to be addressed in them, the success of an energy project will depend largely on how well an agreement is negotiated and executed. This seminar aims to give participants the tools to achieve this.

The participants will experience an interactive session involving discussion of several case studies from around the world, reading of model agreements and a practical on participating in a negotiation of an agreement.
 

5. DUE DILIGENCE INVESTIGATION

With the complexities and growing size of energy and infrastructural transactions, a thorough due diligence is definitely the norm. The Energy sector is highly regulated so, there is an increased focus on Legal due diligence when structuring an Energy transaction, one of the foremost tasks of this kind of due diligence is investigating pending litigation or arbitration against the target company, regulatory compliance (like environmental impact assessment approvals, licensing obligations), corporate structure, employment contracts, material contracts will also need review in a due diligence exercise. PROF. YINKA OMOROGBE, SAN AND NIALS

Prof. YinkaOmorogbe SAN is an internationally recognized professor of energy law. She has an LL.B. from the University of Ife, Ile-Ife, and an LL.M from the London School of Economics, University of London, and is a member of the Chartered Institute of Arbitrators (UK).

She started her legal career as a legal practitioner in the law firm of Solomon Asemota& Co. In 1980 and later joined the Faculty of Law, University of Benin as a lecturer in 1983. In 1990 she moved to the University of Lagos as a Senior lecturer, where she remained until her appointment in July 2002 as a professor of law of the University of Ibadan. She was Dean of the Faculty of Law from 2005 until January 2009, when she was appointed as Secretary to the Corporation and Legal Adviser, Nigerian National Petroleum Corporation (NNPC) a position she held until July 2011. She is currently a research professor (Nabo Graham Douglas Distinguished Professor of Law) at the Nigerian Institute of Advanced Legal Studies, Abuja, Nigeria. Prof Omorogbe has several publications, including books, monographs, book chapters and articles in leading international journals. She is also a regular speaker at workshops and conferences internationally and within Nigeria.

Professor Omorogbe was a member of the two Oil and Gas Sector Reform Implementation Committees (OGIC I and II) established from 2000- 2006, and again in 2007. Within OGIC II she was the Chair, Legal Regulatory Committee (2000-2006) which produced the first Petroleum Industry Bill. She has several international and national affiliations including being a member of the Academic Advisory Group (AAG) of the section on Energy Environment and Natural Resources and Infrastructure Law (SEERIL) of the International Bar Association; Member, Legal Aspects of Sustainable Energy for All Community of Practice; Deputy President I, Nigerian Society of International Law; and Fellow, Nigerian Association of Energy Economics (FNAEE). She is a member of Council, Igbinedion University, Okada, Edo State.

She was recently awarded the prestigious rank of Senior Advocate of Nigeria.

AYODELE ONI, PARTNER, BLOOMSFIELD LP

Ayodele Oni has a knack for creating ingenious and effective strategies to ensure the success of transactions he is involved in. Ayodele is also an active leading voice and thought leader in the development of many transformative policy changes in Nigeria, especially in the energy (oil, gas and electric power) sector. Specifically, he has played key roles in developing template documents, rules and regulations, used in the natural gas and electric power sectors.

Ayodele has also been recognized as being “in a league of his own” by the internationally renowned directory, who’s who legal and has also been ranked amongst the world’s leading lawyers in the chambers and partners and the legal 500. Ayodele has been actively involved in several oil and gas transactions, including the shell divestment deals and chevron’s divestment of interests in a number of oil mining leases. He has also advised and continues to advise on a number of marginal fields transactions (including the year 2020 marginal fields bid round) and several oil and gas acquisition, divestment and financing transactions.

Ayodele was part of the team that provided legal advisory to the bureau of public enterprises on the post-privatization restructuring of the electric power sector. He has also provided legal, policy and regulatory support to the nigerian electricity regulatory commission. Furthermore, he has advised the world bank on electric power sector related issues. Ayodele maintains a seat at the table in the negotiation of almost all major electric power sector transactions in nigeria and remains key in the negotiation of energy (including refining and pipeline) infrastructure projects and financing transactions, across Nigeria. He has been described as being “responsive and valuable”, is noted for “excellent service” and his “keen work ethic and an unyielding commitment to quality”. He is an adjunct lecturer and author of leading energy texts.

DR. TERHEMEN ANDZENGE, INFRASTRUCTURE REGULATION SPECIALIST.

Dr. Terhemen Andzenge is the Lead Consultant at a diversified consulting firm, Reforms Consulting, offering consultancy services in the areas of institutional reforms, regulatory framework, and reforms in private and public entities. In addition, he is Post-Doctoral Research Fellow and Lecturer at the University of Cape Town, South Africa. Prior to joining Reforms Consulting, Dr. Andzenge has at various times:

Worked at Nigerian apex reform agency, the Bureau of Public Enterprises, functioning at different times as the Head, the Infrastructure Regulation Desk responsible for preparing the reform legislations utilities enterprises, Head, Strategy and Planning, Deputy Director in the Oil & Gas and the General Counsel.

Prior to joining the Bureau of Public Enterprises, Dr. Andzenge has been the General Manager, Legal and Council Secretariat at the Nigerian Mining Corporation and a Partner ANDZENGE AND GE and private legal firm engaged in the provision of legal advice on diversified legal matters to corporate bodies and individuals in addition to corporate litigation

DrTerhemenAndzenge holds LL. B and LL.M degrees from the Ahmadu Bello University, Zaria, Post-Graduate Certificate in Utility Regulation from the University of Florida, Gainesville, USA. He was formerly a legal assistant with the Oil and Gas Sector Reforms Implementation (Presidential) Committee, where he was involved in the drafting of the Petroleum Industry Bill. He has more than a decade experience spanning oil and gas financing, licensing & regulatory compliance; corporate and project financing, dispute resolution amongst others.

He has particular expertise in the negotiation and drafting of oil and gas related agreements such as [Gas Sales and Purchase Agreements, Gas Transportation Agreements, Crude Sale and Purchase Agreements, Crude Handling Agreements, JOAs, CNG and LPG Sales Agreements, EPC Contracts, etc]

He also significant experience in legislative drafting, some of which includes the review of the Framework and Guidelines for Non-Interest Finance Institutions for the CBN; review of Guidelines for the Nigerian Content Development Monitoring Board as well as the NCDMB Joint Qualification System etc.

Chukwuemeka is a member of the Nigerian Gas Association, which is itself a chartered member of the International Gas Union (IGU);

Raqeebah Oloko is the Founder and Executive Secretary of Lawyers in Energy Network. She is also the Managing Director of Bromshy Consultancy, a private consultancy and Legal firm that deals with transactions in the Energy Industry.

She started her career as a freelance journalist with City people magazine, before proceeding to Super screen Television where she worked as a marketing consultant.

Raqeebah Oloko first graduated from Yaba College of Technology with a Diploma in Mass Communications before she proceeded to study Law at the prestigious University of Ilorin. She was called to the Nigerian Bar in 2014 and has worked with various organizations over the years.
